1. Introduction & Acceptance

These Terms and Conditions (“Terms”) govern your use of InstaEvent Inc.’s (“InstaEvent,” “we,” “our,” or “us”) websites, mobile applications, and related services (collectively, the “Service”). By using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

Our Privacy Policy explains how we collect and use your data and is incorporated into these Terms.

2. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms and updating the Effective Date above. Your continued use of the Service after changes become effective means you accept them.

3. Eligibility & Account Registration

You must be at least 18 years old to use the Service. If you create an account, you agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. License & Intellectual Property

Subject to these Terms, InstaEvent grants you a limited, non-exclusive, non-transferable license to access and use the Service for personal or internal business purposes. All intellectual property rights in the Service remain with InstaEvent and its licensors. You may not copy, modify, distribute, reverse engineer, or create derivative works without our prior written consent.

5. Acceptable Use

You agree not to use the Service in any way that is unlawful, fraudulent, or harmful. Without limitation, you must not:

  • Upload malware or attempt to disrupt, damage, or interfere with the Service or networks;
  • Scrape, crawl, mine, or use automated tools to access the Service without authorization;
  • Impersonate others or misrepresent your affiliation;
  • Send spam or unsolicited commercial communications;
  • Use SMS or invite features to promote illegal, harmful, or restricted content.

6. User Content

You retain ownership of content you submit (“User Content”), but you grant InstaEvent a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, use, reproduce, modify, display, and distribute your User Content to operate and promote the Service. We may remove content that violates these Terms or applicable law.

7. SMS Messaging & Consent

By providing your phone number, registering an account, or responding to an invitation sent through the Service, you expressly consent to receive communications (including event invitations, reminders, one-time passcodes, security notices, and promotional texts) from InstaEvent.

  • Opt-out: Reply “STOP” to unsubscribe; reply “HELP” for assistance.
  • Charges: Standard carrier message and data rates may apply.
  • Delivery: We are not responsible for delayed or failed delivery due to carrier or device issues.
  • Prohibited use: You may not use SMS features for unlawful, fraudulent, or restricted content (including cannabis or CBD promotions where prohibited, prescription drugs, gambling, firearms, or adult content) or to evade filters.

8. Beta Features

We may release features labeled beta or experimental. Beta features are provided “as is” and “as available,” may contain bugs or interruptions, and may be changed or discontinued at any time.

9. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in abuse or fraud, fail to pay fees (if applicable), or for operational, legal, or security reasons. We may also discontinue some or all of the Service.

10. Third-Party Services

The Service may integrate with third-party services and links. Your use of those services is governed by their terms and privacy policies. InstaEvent is not responsible for third-party content, availability, quality, shipping/returns, or compliance.

11. App Store Terms

If you download our apps from Apple or Google: (a) your license to use the app is subject to the App Store or Google Play rules; (b) Apple/Google are third-party beneficiaries of these Terms; and (c) Apple/Google are not responsible for providing support for the Service.

12. DMCA & Copyright Policy

InstaEvent Inc. respects intellectual property rights. If you believe content on the Service infringes your copyright, notify our DMCA Agent with a notice that complies with 17 U.S.C. § 512:

We may remove or disable access to allegedly infringing material and terminate accounts of repeat infringers where appropriate.

13. Disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, InstaEvent will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses. Our aggregate liability arising out of or relating to the Service will not exceed the greater of $100 or the amount you paid us in the past six (6) months.

15. Indemnification

You agree to indemnify and hold harmless InstaEvent and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

16. Arbitration & Class Action Waiver

You agree that any dispute between you and InstaEvent will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Claims must be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. Arbitration will be confidential. Nothing in this section prevents either party from seeking relief in small claims court where available or from contacting governmental regulators.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. For claims not subject to arbitration, the state and federal courts located in Delaware will have exclusive jurisdiction, and you consent to personal jurisdiction there.
